2. Description of Services

MetaMerch is a subscription-based software platform providing digital garment templates, layered clothing assets, and design tools for use on third-party virtual platforms, including but not limited to Roblox.

MetaMerch:

• Provides digital templates and design tools only

• Does not operate a marketplace

• Does not sell user-created content

• Does not guarantee earnings

MetaMerch is an independent service and is not affiliated with, endorsed by, or sponsored by Roblox Corporation or any other third-party platform.

All products are digital.

3. Eligibility

You must:

• Be at least 18 years old; or

• Have permission from a parent or legal guardian.

You agree to provide accurate information when creating an account.

4. Subscription Plans

MetaMerch offers subscription-based plans.

4.1 Starter Plan

• Limited template access

• Restricted monthly download allowance

• Access to full template library

• Higher monthly download allowance

MetaMerch reserves the right to update plan features, pricing, and download limits at any time.

5. Billing & Payments

Subscriptions:

• Are billed in advance

• Renew automatically unless cancelled

• May be billed monthly or as stated at checkout

Payments are securely processed via:

• Stripe

• Airwallex

By subscribing, you authorise recurring charges.

Failure to complete payment may result in suspension or termination of access.

6. Cancellation

You may cancel at any time.

Cancellation:

• Stops future billing

• Does not refund the current billing period

7. Digital Delivery

MetaMerch provides digital products only.

Upon successful payment, users receive immediate access to digital templates and platform tools.

No physical goods are shipped.

8. Refund Policy

Due to the nature of digital products and immediate access:

• All purchases are non-refundable once access to digital content has been granted.

• Cancelling a subscription prevents future charges only.

  
  

Refunds may be issued solely at the discretion of Studio Yama Ltd in cases of verified technical failure.

9. Intellectual Property

All MetaMerch templates, digital assets, software, and materials are the intellectual property of Studio Yama Ltd.

Subscribers receive a limited, non-exclusive, non-transferable licence to use templates within permitted platforms.

Users may not:

• Resell or redistribute template files

• Share account credentials

• Claim ownership of template structures

• Copy or reverse-engineer platform materials

Violation may result in termination and legal action.

10. User-Generated Content & Copyright Responsibility

MetaMerch provides design tools only.

Users are solely responsible for all content, logos, trademarks, brand names, or artwork they upload, create, or distribute using MetaMerch templates.

Users agree not to:

• Infringe third-party intellectual property rights

• Use copyrighted logos or trademarks without permission

• Create unlawful, counterfeit, or misleading content

MetaMerch does not review, monitor, approve, or endorse user-created designs.

MetaMerch has no obligation to monitor user content but reserves the right to suspend accounts suspected of infringement.

11. Indemnification

You agree to indemnify and hold harmless Studio Yama Ltd, its directors, employees, and affiliates from any claims, damages, liabilities, costs, or legal fees arising from:

• Your use of MetaMerch

• Any content you create or distribute

• Any alleged infringement of third-party intellectual property rights

  
  

12. No Earnings Guarantee

MetaMerch does not guarantee:

• Financial income

• Robux earnings

• Sales performance

• Marketplace success

Results vary depending on user effort, platform conditions, and market demand.

13. Third-Party Platforms

MetaMerch is not responsible for:

• Platform bans

• Account suspensions

• Policy changes

• Marketplace removals

Users must comply with third-party platform rules.

14. Limitation of Liability

To the fullest extent permitted by law, Studio Yama Ltd shall not be liable for:

• Indirect or consequential losses

• Loss of income

• Loss of business opportunity

• Data loss

• Third-party platform actions

Total liability shall not exceed the amount paid by the user in the preceding 30 days.

15. Fraud & Chargebacks

Fraudulent disputes or chargebacks may result in:

• Immediate account termination

• Recovery of associated fees and damages

16. Account Termination

MetaMerch reserves the right to suspend or terminate accounts that:

• Abuse the service

• Violate intellectual property rights
